Seller Agreement

1. Parties

This Agreement is between:

• VehicleCharger India Pvt. Ltd., the operator of VehicleCharger.co.in, having its registered office in Greater Noida, Uttar Pradesh, India ("Platform Operator", "we", "us"); and
• The GST-registered business entity that has completed seller registration on VehicleCharger.co.in ("Seller", "you").

The Agreement takes effect on the date your seller account is approved and remains in force until terminated in accordance with Section 15.

2. Definitions

• "Approved Product" — A brand-new, unused, genuine EV charger product that meets the product standards in Section 5.
• "Buyer Lead" / "Inquiry" — A purchase inquiry from a potential buyer submitted through the Platform.
• "Seller Dashboard" — The web-based interface through which the Seller manages listings, orders, and account settings.
• "Commission" — The fee payable to the Platform Operator as a percentage of the transaction value (see Section 9).
• "Verified Seller Badge" — A trust indicator granted upon successful KYC verification, displayed on the Seller's profile and listings.
• "Listing" — A product page created by the Seller describing a single EV charger SKU.
• "BIS" — Bureau of Indian Standards.

3. Seller Eligibility

To register and remain active as a Seller, you must:

• Be a GST-registered business entity (Proprietorship, Partnership, LLP, Private Limited, or Public Limited) incorporated/registered in India.
• Hold a valid PAN in the name of the business or proprietor.
• Have a valid business bank account in the name of the entity.
• Be engaged in the legitimate trade, distribution, or manufacture of electric vehicle charging equipment.
• Not be blacklisted, debarred, or subject to insolvency proceedings under applicable Indian law.

Consumer resellers (individuals reselling products purchased for personal use) are not eligible. Manufacturers, authorised distributors, dealers, and importers of EV chargers are eligible subject to KYC verification.

4. KYC & Verification

Seller accounts are activated in two phases:

1. Basic Registration: Account and business details submitted during registration. You may access the Seller Dashboard but cannot create live listings until KYC is complete.
2. KYC Verification: You must upload the following documents within 15 days of registration via the Seller Dashboard:
   • GST Registration Certificate
   • PAN Card (business or proprietor)
   • Business bank account cancelled cheque or bank statement (not older than 3 months)
   • Address proof of registered office (utility bill, rental agreement, or property document)
   • Business PAN (for entities) or Aadhaar-linked PAN (for proprietors)
   • Manufacturer authorisation letter or trade licence (if applicable)

KYC review is completed within 2–3 business days. Upon successful verification, you will receive the Verified Seller Badge and listing access. We reserve the right to request additional documents and to reject KYC applications at our discretion.

You must promptly update us if any registered information changes (GST number, address, bank account). Failure to maintain updated information may result in account suspension.

5. Product Standards

All Approved Products must:

• Be brand-new and genuine: Not used, refurbished, repaired, repackaged, grey-market, or counterfeit.
• Carry a valid manufacturer warranty: A minimum of 12 months from the date of purchase by the end buyer.
• Comply with BIS standards: Where BIS registration/certification is mandatory for the product category under Indian law, the product must be BIS-certified.
• Have complete documentation: Each unit must include user manual, warranty card, and applicable compliance certificates.
• Meet listed specifications: The product delivered must exactly match the specifications in the Listing (wattage, connector type, input/output voltage, certifications).

6. Prohibited Products

The following are strictly prohibited from being listed or sold on VehicleCharger.co.in:

• Used, refurbished, or second-hand EV chargers or components.
• Counterfeit, fake, or unauthorised replicas of branded products.
• Products that do not comply with mandatory BIS standards where applicable.
• Products imported in violation of Indian import regulations or without valid import documentation.
• Charger products that have been tampered with, modified, or whose safety certifications have been revoked.
• Any product whose sale is restricted, banned, or requires special licence under Indian law.
• Accessories, spare parts, or consumables that are listed or marketed as complete EV charging stations.

Listing or selling prohibited products will result in immediate listing removal, account suspension, and potential legal action.

7. Listing Obligations

You agree to maintain listings that are:

• Accurate and complete: All product specifications (power rating, phases, IP rating, connector type, charging standard, dimensions, weight) must be correct.
• Current: Pricing and stock status must be updated within 24 hours of any change. Out-of-stock products must be marked accordingly. Listing products you cannot immediately supply is prohibited.
• Compliant: Listings must not make false or misleading claims about product performance, certifications, or compatibility.
• Original: Product images must be genuine photographs of the actual product. Stock photography misrepresenting the product is not permitted.

VehicleCharger.co.in reserves the right to edit, remove, or delist any Listing at any time without notice if it violates these standards or applicable law. We may also create or optimise listing content based on manufacturer data to improve search quality.

8. Pricing & GST

Pricing: You set your own product prices. Prices displayed on the Platform may be inclusive or exclusive of GST — you must configure this correctly in your Seller Dashboard. You are solely responsible for ensuring your pricing is not misleading.

GST Obligations: You are the seller of record for all transactions. You are responsible for:

• Charging the correct applicable GST rate on each transaction.
• Issuing a valid GST invoice (tax invoice) to the buyer for every confirmed order.
• Filing GST returns (GSTR-1, GSTR-3B) as required by the GST Act.
• Ensuring TCS compliance where applicable (as per Section 52 of the CGST Act for marketplace sellers).

VehicleCharger.co.in may collect TCS as required under applicable GST law and will remit the same to the Government. You will receive TCS credit in your GSTR-2A.

9. Platform Fees & Commission

VehicleCharger.co.in currently offers free seller registration and listing. A performance-based commission model will be introduced for certain transaction types in the future. Sellers will be notified at least 30 days in advance of any fee or commission structure being introduced or changed.

All fees, when introduced, will be exclusive of GST. GST will be charged as applicable on platform services.

10. Order Fulfillment

Upon receiving a confirmed order through the Platform:

• Acknowledgement: Acknowledge the order within 24 hours of receipt via the Seller Dashboard.
• Dispatch: Dispatch the order within the timeframe committed in the product listing (default: 3 business days from order confirmation unless otherwise stated).
• Packaging: Package products securely to prevent transit damage. Original manufacturer packaging must be intact and undamaged.
• Documentation: Include a valid GST invoice, warranty card, user manual, and any applicable compliance certificates with every shipment.
• Tracking: Provide shipping carrier details and tracking information to the Platform within 24 hours of dispatch.

If you are unable to fulfill an accepted order (due to stock shortage or other reasons), you must notify us and the buyer within 12 hours of order confirmation. Repeated order cancellations or fulfillment failures may result in account suspension.

11. Returns, Defects & Disputes

You agree to honour all valid return and replacement requests that fall within the scope of the Return & Refund Policy. Specifically:

• You will arrange and bear the cost of reverse logistics for approved defective or wrong-product returns.
• You will provide a replacement or process a refund within 10 business days of receiving the returned product.
• Repeated defective deliveries for the same product listing will result in mandatory review and may lead to listing removal.

In disputes between buyers and sellers, VehicleCharger.co.in's decision, based on the evidence submitted by both parties, shall be final for the purpose of Platform policies. This does not prevent either party from pursuing legal remedies independently.

12. Intellectual Property

You represent that you own or have valid authorisation to use all images, brand names, logos, and content you upload to the Platform. You grant VehicleCharger.co.in a non-exclusive, royalty-free, worldwide, transferable licence to use, reproduce, display, modify, and distribute your product content for the purpose of:

• Displaying your listings on the Platform and affiliated digital channels.
• Marketing VehicleCharger.co.in and its seller ecosystem.
• Improving product data quality, search, and recommendations.

This licence survives termination with respect to content already published. You may request content removal after account closure by contacting us.

You agree not to list products that infringe upon the trademark, copyright, patent, or trade secrets of any third party. We will respond to valid intellectual property infringement notices under applicable Indian law.

13. Seller Representations & Warranties

By selling on VehicleCharger.co.in, you represent and warrant on a continuous basis that:

• You are duly incorporated/registered under Indian law and have full authority to enter into this Agreement.
• All products listed and sold are genuine, new, and comply with applicable BIS, safety, and quality standards.
• You hold valid authorisation (manufacturer/distributor agreement) to sell any branded product you list.
• All GST and other tax obligations arising from your sales are and will be duly fulfilled.
• No product you list is subject to any export control, sanctions, or regulatory restriction that would make its sale unlawful.
• The information provided during registration and KYC is true, accurate, and complete.

14. Indemnification

You agree to indemnify, defend, and hold harmless VehicleCharger India Pvt. Ltd., its directors, employees, agents, and affiliates from any claims, damages, fines, penalties, or expenses (including legal fees) arising from:

• Your breach of this Agreement or the Platform's Terms & Conditions.
• The products you sell (product liability, defects, non-compliance with standards).
• Your violation of any applicable Indian law, including GST, consumer protection, or IP laws.
• Any dispute raised by a buyer against the Platform that is attributable to your product or conduct.

15. Termination & Suspension

By the Seller: You may close your seller account at any time by contacting us. All pending orders must be fulfilled or transferred before closure. Closing your account does not release you from obligations for orders placed prior to closure.

By VehicleCharger.co.in: We may immediately suspend or permanently terminate your seller account without prior notice if:

• You list or sell prohibited or counterfeit products.
• You fail KYC verification or provide false KYC information.
• You have three or more substantiated buyer complaints in any 90-day period.
• You repeatedly fail to fulfill orders within committed timelines.
• You engage in fraudulent pricing, fake reviews, or platform manipulation.
• We are required to do so by law, court order, or regulatory authority.

We may also suspend accounts for investigation. Suspension periods during investigation shall not exceed 30 days, after which the account will be either reinstated or terminated with reasons communicated to you.

16. Governing Law

This Agreement is governed by the laws of India. Any dispute arising under this Agreement shall be resolved as set out in Section 15 of the Terms & Conditions, with the seat of arbitration and exclusive court jurisdiction in Gautam Buddha Nagar, Uttar Pradesh.
